Introduction The National Gypsum Company (GYPCO) announces the opening of nominations for membership on the company's board of directors for the upcoming term which will begin, God willing, on 27/5/2025 and will last for three calendar years, ending on 27/5/2028).

Nominations for board membership shall be in accordance with the provisions set forth in the Companies Law and the Corporate Governance Regulations issued by the Capital Market Authority, as well as the provisions of the company's articles of association and the policy and criteria for nominating board members approved by the general assembly.

Voting for the elected nominated members will take place at the next general assembly meeting, the date of which will be announced later

Policy and criteria of nomination The candidate must meet all the nomination requirements for membership on the Board of Directors as outlined in the policies, standards, and procedures for board membership (attached) and must complete the following requirements in accordance with the duration and deadlines specified in this announcement and according to the company's board membership policies, standards, and procedures, as well as applicable laws and regulations:

1) A definition of the candidate in terms of their biography, qualifications, and experience in the company's field of work.

2) A copy of the candidate's identification.

3) A statement of the number and dates of the boards of directors of joint-stock companies that the candidate has been a member of currently or previously.

4) A statement of the joint-stock companies in which the candidate still holds membership.

5) A statement of the companies or institutions that the candidate is involved in managing or owning and that conduct activities similar to those of the company.

6) If the candidate has previously held membership on the Board of Directors of Al-Jubail Company, they must attach to the nomination application a statement from the company's management regarding the last term they served on the board, including the following information:

a) The number of board meetings that took place during each year of the term and the number of meetings attended by the member in person and the percentage of their attendance to the total meetings.

b) The permanent committees in which the member participated, the number of meetings held by each of those committees during each year of the term, the number of meetings attended, and the percentage of their attendance to the total meetings.

c) A summary of the financial results achieved by the company during each year of the term.

7) Clarification of the candidate's status (Independent – Executive – Non-Executive).

The nomination application must include the following:

1. All information in the nomination form and submission of all information and documents specified in the form, and submission of the original form within the time frame specified above.

2. The candidate must fill out form number (3).

The candidate must attach a CV, a copy of the civil status card, the family register, and an extract with the stock portfolio number they own.

3- The candidate must fill out Form No. (1) for the CV (attached).

4- In case the candidate has direct or indirect interests with the company, they must provide a detailed statement in addition to any information related to any contract in which the company is a party and the candidate has a substantial interest or for any related person (spouse, minor children, affiliated companies). They must also provide a detailed statement if the candidate is involved in any work that may compete with the company's business.

5- Complete and sign the application declaration for candidacy (attached) with a copy of the national ID or passport (for non-Saudis).
