Introduction Almoosa Health Company announces the opening of nominations for membership in the company's Board of Directors for the next four-year term, commencing on October 1st, 2025 and ending on September 30, 2029.

Those wishing to nominate themselves for membership in the Board of Directors, who meet the membership requirements and criteria, should submit their nomination applications within the specified period and in accordance with the details contained in this announcement.

Nominations will be made in accordance with the provisions of the Companies Law and its implementing regulations issued by the Ministry of Commerce and the Corporate Governance Regulations issued by the Capital Market Authority and the Company's Policy for standards and procedures for board membership (Attached).

Please note that the election of the Board members for the next term will take place at the shareholders’ General Assembly Meeting, the date of which will be announced later after obtaining the necessary approvals from the relevant authorities.

Policy and criteria of nomination Each shareholder has the right to nominate themselves or one or more persons, whether shareholders or non-shareholders, for membership of the Board of Directors, provided that the nominee meets the membership requirements stated in the relevant laws and regulations, as well as the criteria and conditions for board membership in accordance with the Policy of Standards and Procedures of Board membership (attached). The following requirements must be fulfilled:

1. Submission of a nomination notice form expressing the nominee’s desire to run for membership of the Board of Directors in both Arabic and English. (attached)

2. Submission of Form No. (1) and Form No. (3) issued by the Capital Market Authority in both Arabic and English. (attached)

3. Review and acknowledgement of the Board Nomination Standards and Policy, the Company’s Corporate Governance Regulations, and the related policies. (attached)

4. Attach all documents related to the nomination application for Board membership.
