Introduction |
The Board of Directors of AME Company for Medical Supplies is pleased to announce to its shareholders the opening of nominations for membership in the company's Board of Directors for the next term, which begins on July 31, 2025, for a period of four years, ending on July 30, 2029. Shareholders wishing to nominate themselves and who meet the membership requirements and criteria should submit their nomination applications within the specified period, in accordance with the details contained in the announcement. Nominations for Board membership will be made in accordance with the provisions of the Companies Law issued by the Ministry of Commerce and its Executive Regulations, the Corporate Governance Regulations issued by the Capital Market Authority, the company's Articles of Association, and the Board of Directors Nominations Policy and Procedures (attached). The Board of Directors will be elected for the new term at the General Assembly meeting, which will be announced later, after obtaining the necessary approvals from the relevant authorities. |

Shareholders wishing to nominate themselves or one or more other persons are requested to complete all forms electronically, along with all attachments and the aforementioned forms, and submit the nomination applications, along with all attached forms, to: Nominations and Remuneration Committee via email: investor.relations@ame-ksa.net Or deliver them to the Board of Directors Secretariat at the company's headquarters on Prince Sultan Street, Al Rawdah District, Enaam Building (fourth floor), Jeddah. |
Policy and criteria of nomination |
Each shareholder has the right to nominate themselves, or one or more other shareholders or non-shareholders, for membership in the Board of Directors. The candidate must meet the membership requirements for the Board of Directors stipulated in the relevant rules and regulations, as well as the membership conditions and criteria, and must meet the following requirements: 1. Fulfill the general conditions for membership in the Board of Directors and the nomination requirements stipulated in the policies, standards, and procedures for membership in the Board, in accordance with the Companies Law. 2. Submit a written application signed by the candidate announcing their desire to run for Board membership, using the form (attached), during the nomination period specified in the announcement, and attach all necessary documents. 3. Submit Form No. (1) of the Curriculum Vitae approved by the Capital Market Authority for candidates for membership in the Boards of Directors of joint-stock companies listed on the Saudi Stock Exchange, attached in both Arabic and English. 4. Submit a signed copy of Form No. (3) (attached) issued by the Capital Market Authority for nominations for Board membership. The form can be obtained through the Authority's website (https://cma.org.sa) in both Arabic and English. 5. Attach a clear, valid copy of your national ID card and a copy of your family record. The Nominations and Remuneration Committee will only review completed applications. |
