Riyadh – Mubasher: Tamkeen Human Resource Company has officially announced the formation of its Audit Committee for the current Board of Directors term to serve a four-year tenure, according to a bourse filing.
This aligs with the board’s session that commenced on 18 June 2026 and is scheduled to conclude on 17 June 2030. This governance move ensures the continuity of oversight and financial integrity for the company through the appointment of experienced professionals in accounting, finance, and corporate governance.
Following a board resolution passed on 21 June 2026, the Board of Directors confirmed the appointment of three members to the committee, led by Mohammed Ahmed Abdulmalik Ali, who will serve as the Chairman.
Ali brings extensive academic and professional credentials to the role, holding a Bachelor’s degree in Accounting from King Saud University, obtained in 1994, and the Saudi Organization for Chartered and Professional Accountants (SOCPA) fellowship, earned in 2013. His professional background includes various executive financial positions and memberships on audit committees for several public joint-stock companies. Notably, he has chaired Tamkeen’s Audit Committee since 2021, providing a high degree of institutional continuity.
Joining the committee as a member is Majed Ahmed Lutfi Qwaider, whose educational background includes a Bachelor’s degree in Accounting from the University of Jordan (1981), followed by a fellowship from the Arab Society of Certified Accountants in 1989. He also holds a Certified Public Accountant (CPA) designation from the University of Illinois in the United States, which he obtained in 1991.
With a career spanning executive roles in public companies and consultancy firms, Qwaider has also been a member of Tamkeen’s Audit Committee since 2021.
The third member of the committee is Saleh Abdulrahman Saleh Al Fadhel, who possesses a diverse academic portfolio, including a Bachelor’s degree in Business Administration from King Saud University (2006), a Master’s degree in Finance (2009), and a Master’s degree in Accounting (2010), both from the University of Illinois. He is a Certified Public Accountant (CPA), a qualification he earned in 2010.
In addition to his executive experience and various committee memberships across other entities, Al Fadhel has served as an independent board member for Tamkeen since 2021.
The company noted that the appointments did not require further non-objection clearances from official authorities. By reappointing members who have served since 2021, the company maintains a stable oversight framework, leveraging the existing members' familiarity with Tamkeen’s internal controls and financial reporting processes.
The Audit Committee is tasked with a critical role in the company’s corporate governance structure. Its responsibilities typically involve monitoring the company’s financial statements, overseeing the internal audit department, and ensuring compliance with applicable laws and regulations.
The committee also acts as a primary liaison between the Board of Directors and the external auditors, ensuring that the company’s financial disclosures remain transparent and accurate for shareholders and the wider market.
