Riyadh – Mubasher: Rimath Hospitality Company, which recently rebranded from Intelligent Oud Trading Company (iOud), commenced the nomination period for its Board of Directors for the upcoming term, according to a bourse filing.
The company is seeking candidates to fill five board seats for a four-year cycle scheduled to begin on 17 September 2026 until 16 September 2030.
This announcement follows the regulatory frameworks established by the Saudi Companies Law and the Corporate Governance Regulations issued by the Capital Market Authority (CMA).
The nomination window opened on 6 July and will remain active until 6 August 2026. During this period, eligible shareholders and qualified professionals are invited to submit their applications for membership in the company’s governing body.
Rimath outlined a comprehensive set of requirements for prospective candidates, emphasizing transparency and compliance with Saudi market standards.
Applicants must adhere to the Board Membership Policy approved by the General Assembly.
Submissions are required to be delivered by hand to the company’s headquarters in Riyadh, which will receive applications during official working hours, from Sunday to Thursday, between 8:00 AM and 5:00 PM.
To be considered for a position, candidates must provide a signed letter addressed to the Audit and Review Committee expressing their desire to run, accompanied by a detailed curriculum vitae (CV) in both Arabic and English.
Furthermore, candidates are required to submit a signed copy of Form No. 3 as issued by the CMA, which serves as a standard disclosure for board nominations in listed companies.
The application package must also include a statement detailing the candidate’s current and past memberships on the boards or committees of other joint-stock companies.
To manage potential conflicts of interest, applicants are required to disclose any ownership or involvement in the management of entities that conduct business similar to that of Rimath.
Identification documents, including a national ID for Saudis or a passport for non-Saudis, are mandatory attachments. All documents provided in foreign languages must be accompanied by certified Arabic translations.
The Audit and Review Committee will be responsible for evaluating all applications against the established criteria. The company has clarified that any incomplete applications will be excluded from the process without further notice to the applicant.
Following the review process and the acquisition of necessary regulatory approvals from relevant authorities, the final election of the board members will take place during a General Assembly meeting, the date of which will be announced at a later time.
The disclosure also highlights the rigorous investigative questions candidates must answer, covering aspects such as direct or indirect interests in company contracts, relationships with senior executives, and any involvement in competing businesses.
These measures are designed to ensure that the five-member board operates with the highest level of integrity and in accordance with the fiduciary duties expected of a listed entity on the Tadawul.
