Dividend Distribution Policy Statement

Board of Directors Decision

The Board of Directors of Asyad Shipping Company S.A.O.G. (“Asyad Shipping” or the “Company”) listed on Muscat Stock Exchange (MSX) (MSX Symbol: ASCO) has decided in its meeting on the 11th of August 2026 and agreed on a decision regarding Dividend Distribution Policy.

Introduction

This Dividend Distribution Policy (hereinafter the “Policy”) of Asyad Shipping is issued in compliance with Muscat Stock Exchange (‘MSX’) Circular No. 3/2025 dated 5 February 2025, pertaining to the Dividend Distribution Policy Guidelines applicable to listed companies. This Policy is further aligned with, and subject to, all applicable laws and regulations of the Sultanate of Oman, including the relevant regulatory frameworks issued by the Central Bank of Oman (‘CBO’) and the Financial Services Authority (‘FSA’). The purpose of this Policy is to establish the principles governing Asyad Shipping Company’s approach to dividend distributions. This dividend policy is designed to reflect the Company’s expectation of strong cash flow and expected long term earnings potential while allowing the Company to retain sufficient capital to fund ongoing operating requirements and continued investment for long term growth. The Dividend Distribution Policy shall be disclosed on the Company’s website and on the MSX portal, in accordance with applicable disclosure requirements.

 

Dividend to Share Holder Intent

Asyad Shipping intends to maintain paying a dividend while maintaining financial flexibility to support growth and long-term value creation, subject to the Company’s financial performance, capital position, regulatory requirements, and prevailing economic conditions. 

 

Interval 

Dividends are considered on an annual basis for semi-annual cash dividend distribution or subject to approval by the Board of Directors, regulators and shareholders. 

 

Dividend Distribution Strategy 

Dividends will be paid in cash and structured as follows for the Financial Year ending 31 December 2026:

•In 2026, the Company expects to declare a fixed annual dividend of U.S.$150.0 million (approximately  58.0 million), 50 per cent. of which, amounting to U.S.$75.0 million (approximately  29.0 million), is expected to be paid in September 2026 on the basis of the Company’s performance for the six months ending 30 June 2026, and the remaining 50 per cent. of which, amounting to U.S.$75.0 million (approximately  29.0 million), is expected to be paid in March 2027 on the basis of the Company’s performance for the year ending 31 December 2026.

 

Thereafter, the Company intends to maintain consistency in the distribution of profits, taking into account its growth strategy and cash flow generation. The Company intends to pay out dividends for the first six months of the year in September of that year and for the last six months of the year in March of the following year.

 

Company’s Financial Position Considerations

In considering any dividend recommendation, the Board of Directors shall consider, among other things, the following factors:

•The Company’s financial results for the year and the outlook for future business operations

•Providing for anticipated capital expenditure or acquisitions, to further enhance shareholder value or meet strategic objectives

•Allocating sufficient cash reserves to meet debt obligations

•Retaining earnings to address contingencies and unforeseen circumstances

•Considering prevailing macroeconomic conditions

•Monitoring changes in the cost and availability of external financing

•Assessing the impact of government policies, industry regulations, and statutory requirements

 

Growth Strategy

 

This Policy is designed to maintain an appropriate balance between providing shareholders with sustainable returns through dividend distributions and retaining sufficient capital to support the Company’s future growth plans, preserve financial resilience, and ensure compliance with applicable regulatory standards. 

 

Industry and Market Context 

 

In determining the amount of any dividend distribution, the Board of Directors shall consider, among other things, the Company’s profitability, operating cash flows, liquidity position, capital expenditure requirements, debt obligations, market conditions, and future business and investment opportunities. Given the cyclical nature of the shipping industry, dividend distributions may vary from year to year and there may be periods where limited or no dividends are declared.

 

 

Dividend Distribution plan

 

Following the Annual General Meeting (AGM) approval, the dividend distribution details will include the Dividend amount, Dividend per share and record/cutoff date.

 

Dividend Announcement Placement Plan

 

Dividend announcements will be disclosed through:

•The Company’s official communication channels.

•The Muscat Stock Exchange portal in accordance with applicable disclosure requirements.

Eligibility: Shareholders registered with Muscat Clearing and Depository Company as of the announced record/cutoff date will be eligible to receive dividends.

 

Dividend Approval 

 

The Management shall submit dividend distribution recommendations to the Board. The Board shall endorse the dividends distribution for shareholders’ approval at an Annual General Meeting or Ordinary General Meeting as applicable.

 

•The approved dividends will be distributed by the Company within seven (7) days, or as otherwise prescribed by regulators.

•The dividend payments will be administered by MCD.

Dividend Distribution Policy Rationale

 

This Dividend Distribution Policy reflects Asyad Shipping’s strong cash-generating capability, disciplined capital allocation approach, commitment to transparent and predictable shareholders returns and future business and investment opportunities.

 

Legal Clause

 

This Dividend Distribution Policy is subject to the consideration of the Board in relation to the cash management requirements of the Company’s business for operating expenses, financing expenses and anticipated capital expenditures. In addition, the Company expects that the Board will also consider market conditions, the current operating environment in the Company’s market and the Board’s outlook for the Company’s business. 

 

 

 

 

 

 

Dividend Distribution Policy Review and Amendments

 

The Board of Directors will review the policy annually. Any revisions in the Policy will be communicated for approval to shareholders in a timely manner, in accordance with applicable regulations. The Company reserves the right to review and amend this Dividend Distribution Policy as may deem appropriate by the Board to reflect changes in market conditions, regulatory requirements, or the Company’s strategic priorities.

The Policy does not constitute a commitment regarding the future dividends of the Company, however, represents general guidance regarding dividend policy. The statement of the Policy does not in any way restrict the right of the Board to use its discretion in the recommendation of the Dividend to be distributed in the year and the Board reserves the right to depart from the policy as and when circumstances so warrant. This Dividend Distribution Policy provides guidance on Asyad Shipping’s approach to shareholders returns and reflects the Company’s current expectations and financial framework. Dividend declarations remain subject to Board and shareholders’ approvals and applicable laws and regulations.
